American Tower Senior Manager, Mergers and Acquisitions in Woburn, Massachusetts

SUMMARY:

The Senior Manager—Mergers and Acquisitions (“M&A”) leads a critical, high-performing, fast-paced team responsible for long-term domestic M&A strategy. The Senior Manager needs to be highly analytical with a passion for technology and growing businesses through strategic acquisitions. The incumbent leads a team of M&A Associates responsible for the full deal cycle of acquisitions, including prospecting, valuation, negotiating, diligence, and integration support. The candidate will be required to work with many cross functional groups to develop business cases and to determine the appropriate assumptions needed for disciplined cash flow modeling. Having the ability to communicate and influence within the organization is critical to success. The incumbent assists with preparing and presenting Investment Committee materials along with making recommendations with thoughtful and disciplined business case analysis. The Senior Manager also supports the Innovation team as it relates to non-core investments, e.g ., joint ventures, venture investments, strategic partnerships, debt financing, etc . In addition to valuation and analysis support, the Senior Manager leads the M&A Associates to complete all integration activities and works with various cross-functional teams to ensure assets are integrated in timely and consistent manner under internal best practices and policies.

ESSENTIAL FUNCTIONS:

  • Originate, analyze, negotiate, andclose domestic investments; act as the quarterback for American Tower’s acquisitioninitiatives

  • Oversee the preparation offinancial models and Investment Committee presentations.

  • Develop and oversee M&A projectmanagement processes involved in the total lifecycle of an acquisition,including valuation, due diligence, financial, scoping, planning, closing,and integration.

  • Develop and enhance M&A financialmodels to adhere to set investment criteria and return hurdle requirements.

  • Lead team responsible forcoordinating with cross-functional internal teams, sellers, and/or brokersto obtain data required for valuation and analyses of opportunities.

  • Work with sellers, bankers, andbrokers to develop long-lasting relationships.

  • Utilizeproject management methodology, including supporting tools and processes, to ensureall diligence is complete and understood; ensure each asset is fully integratedinto the portfolio.

  • Coordinate a cross-functional group to lead duediligence and post-merger integration for acquisitions, dispositions, and jointventures; develop andmaintain business partnerships with management and business leads in the Compliance, Finance, Legal, Sales, Engineering, andOperations departments to develop requirements and project plans that allow foraccurate assessment of potential acquisitions.

  • Updatemanagement on the status of each transaction, including outcomes and risks.

  • Developproject and communication plans involving key stakeholders and impacteddepartments. Keep appropriate partiesinformed of each project's progress and problems.

  • Developthe necessary metrics to objectively evaluate performance against expectations.

  • Facilitateand lead discussions and meetings with internal and external business andtechnical resources, including brokers, sellers, and due diligenceprofessionals.

  • Managea team of Associates to ensure successful due diligence and integrationactivities.

  • Developpresentations for, and present recommendations to, senior management.

OTHER:

SUPERVISORY RESPONSIBILITIES:

  • Supervise and manage the performance of M&A Associates.

QUALIFICATIONS:

  • Expert-levelunderstanding of and experience with Excel to produce financial modeling and discountedcash flow analyses.

  • Highlyanalytical with excellent ability to understand complex cash flow, profit andloss, and balance sheet statements.

  • Abilityto set and develop strategic goals and priorities for a project and effectivelycommunicate these to team members.

  • Demonstratedsuccess at managing large, multi-faceted projects. Solid working knowledge, skills, and understandingof generally accepted project management techniques and technologies.

  • Goodstrategic and problem solving skills to effectively influence decision making duringkey negotiations.

  • Self-motivated;able to work both independently to complete tasks and respond to requests and withothers to utilize their resources and knowledge to identify quality solutions.

  • Strongorganization, planning, and project management skills; ability to prioritizetasks for self and team to meet requirements and deadlines.

  • Strongleadership skills; ability to drive and motivate team.

  • Abilityto work in a time-sensitive, high volume environment.

  • Abilityto identify key contacts for follow up.

  • Abilityto communicate project and status updates to team and cross-functionally toensure understanding.

  • Excellentwritten and oral communication skills, with ability to present ideas andinformation clearly and confidently.

  • Strongtechnical skills, including Microsoft Office suite, with exceptional knowledgeof Excel, PowerPoint, Project, and other project management tools.

EDUCATION AND EXPERIENCE:

  • Fiveyears of experience working within in an M&A or corporate developmentfunction as a financial, business, or valuations analyst required.

  • Bachelor'sdegree in Finance, Accounting, or Economics required.

  • Master'sdegree and/or CPA preferred.

  • Communicationsinfrastructure industry experience preferred.

  • Experiencemanaging and enhancing a business process in a very fast paced, dynamicenvironment strongly preferred.

ENVIRONMENT:

100% performed in climate-controlled internal office environment working under normal office conditions. Approximately 10% travel will be required in support of the position’s responsibilities.

While performing the duties of this job, the employee is regularly required to sit, stand, walk, use hands and fingers to feel and handle, reach with arms and hands, talk and hear. While performing the duties of this job, the employee frequently is required to stoop, kneel and crouch, lift weight or exert a force up to a maximum of 25 pounds.
